Group Compliance operates according to an innovative approach combining regulations compliance with supporting business lines in achieving their objectives. The Group has decided to adopt an integrated compliance defined and implemented by the organisation, meeting the requirements of the applicable standards to enable our companies to overcome the challenges of the market on a daily basis and to meet the requirements of our customers and our corporate objectives.

Code of Ethics

Each company of the Sirti Group has adopted its own Code of Ethics with the aim of clearly defining the set of principles and values that characterise its activities, the observance of which is required by all those who have, for any reason, relations and relationships with the Company (Directors, Managers, Employees, Consultants, Customers, Suppliers and Partners).

Knowledge of the contents of the Code and, above all, observance of its guidelines, principles and rules governing company relations—both internally and externally—are decisive factors for the success of the company.

The Companies of the Sirti Group, to ensure fairness and transparency in the performance of their activities and to consolidate their image and position on the market, as well as to protect the expectations of their shareholders and the work of their employees, have each adopted their own Organisation, Management and Control Model in line with Legislative Decree No. 231/2001, and further modifications, and the relevant Group Code of Ethics.

Whistleblowing

The Companies of the Sirti Group are equipped with an IT platform for the management of whistleblowing reports that allows to communicate to the Company potential violations in a completely anonymous or confidential manner (at the discretion of the reporter) as provided for by the European Directive no. 1937 of 26 November 2019 concerning the protection of persons who report violations of Union law transposed, in Italy, by Legislative Decree 24/2023.

The Companies of the Sirti Group guarantee the analysis of all reports received and the collection of objective elements aimed at the adoption of measures to correct the violations that have emerged. The whistleblower will always be informed of the outcome of investigations into what he has reported.

Anti-Corruption model

The Companies of the Sirti Group are committed to conducting their business with honesty, integrity, fairness and transparency, in compliance with those laws, regulations and international standards that apply to their activities.

In particular, all the current Companies of the Group (Sirti S.p.A.; Sirti Telco Infrastructures S.p.A.; Sirti Digital Solutions S.p.A. and Sirti Energia S.p.A.) have each adopted their own Anti-Corruption Model to provide a systematic framework of reference for the rules and procedures on Anti-Corruption, which the Companies intend to pursue both at a national and international level, and in their relations with the Public Administration and private parties. These Models are an integral part of a broader business ethics control system aimed at ensuring the Companies’ full compliance with the reference standards and, therefore, every employee and every supplier of the aforementioned Companies is required to read and understand their contents in order to be fully compliant with them.

Legality rating

The Companies of the Sirti Group undertake, with a view to full compliance with the national regulations in force on market competition, to conform their business to the reward requirements provided for in the so-called “Legality Rating” (Law No. 29 of 24 March 2012 – AGCM) in order to achieve greater transparency in relations with its stakeholders, partners and suppliers.

In particular, Sirti S.p.A. and Sirti Energia S.p.A. were respectively awarded ‘three stars’ (maximum score) and ‘two stars +’ of the so-called “Legality Rating” and were included in the list of virtuous companies provided for in Article 8 of Regulation No. 28361 of 28/07/2020 governing the aforementioned Rating.

Obligations and common goals towards excellence

The Sirti Group, through the Policy of the Integrated Management System Corporate Governance, guides companies in the pursuit of the strategic objective of continuous improvement, which is an integral part of everyone’s responsibility.

Based on primary values such as the prevention and protection of the health and safety of workers and the environment, quality, information security, data processing, energy saving, social responsibility, sustainability and the fight against corruption, the Group has decided to adopt an integrated Management System defined and implemented by the organisation, which complies with the requirements of the applicable standards to enable its companies to overcome the challenges of the market on a daily basis and to meet the requirements of its customers and its corporate objectives.

SOCIAL ACCOUNTABILITY

Social Responsibility and Safety in Group Companies

The Sirti Group, aware of the value of Social Responsibility and safety in its member companies, has identified the SA8000 standard and the EASI Model as two indispensable guidelines to guide all decisions concerning the working and social life of companies, including aspects of health and safety at work and environmental protection.

The Group has therefore established a management system for Social Responsibility according to the requirements of the SA8000 standard and the EASI Model, which are mainly based on the Universal Declaration of Human Rights, International Labour Organisation conventions, international human rights standards, national labour and safety laws.

Sirti’s Integrated Management System is consistent with the main international standards and allows all company processes to be managed with a view to continuous improvement

The Sirti Group has been awarded multiple certifications that enable a vision aimed at continuous improvement by striving for excellence.
In addition to quality, for which the parent company Sirti has been certified since 1994, these include safety, the environment, social responsibility, anti-corruption, energy performance, information security and ICT services.

It has also obtained the qualification certificate for the execution of public works (SOA) and can work on installations containing fluorinated gases thanks to personal and company F-Gas certifications.
A final step was added with the GHG inventory to embark on the journey towards environmental impact awareness.

Sirti Group ranks in the top 25% of companies evaluated by EcoVadis

In a Corporate Sustainability assessment process based on international standards, EcoVadis, a leading company in the assessment of CSR, Corporate Social Responsibility,
awarded the Silver Medal to the Sirti Group in recognition of its score. This is derived from the performance of 21 indicators across four areas (environment, labour and human rights, ethics and sustainable procurement).

The Silver Medal award testifies to the fact that the Sirti Group, thanks to its efforts for continuous improvement, is among the top 25% of companies evaluated by EcoVadis.
